Board of Directors Job Description

Duties
 
The Directors are legally and fiscally responsible for the governance of the organization. They set governance policies, establish goals and budgets for FBC programs, hire and monitor the performance of the Executive Director, assist in securing funds to enable FBC to meet its budget and carry out its program, monitor the use of those funds, and provide volunteer leadership for the organization. (Student members who are younger than 18 are held to a lesser standard of accountability because of legal limitations on their ability to enter into contracts.)

The FBC Board of Directors is a working board. All Directors serve on at least one committee and are directly involved with programs such as land protection, stewardship, publicity, special events, and membership development.
Lines of Authority
 
The Board of Directors is responsible for deciding what programs FBC will undertake and setting the budgets for those programs.

The Executive Director is responsible for implementing those programs within the specified budget and for the day-to-day management of the organization. The Executive Director reports to the President of the Board and his/her performance is evaluated by the Executive Committee.

Directors working as volunteers in the implementation of programs (as opposed to the planning) work under the supervision of appropriate staff.
Specific Commitments of Individual Directors
 
•   Attend up to six regular board meetings each year and an annual retreat
•   Attend periodic committee meetings and do committee work as outlined above
•   Participate in policy and decision-making at both the board and committee levels
•   Assist in gaining needed community support by exercising personal and professional contacts whenever possible and appropriate
•   Accept committee chair duty and other leadership positions on Board as experience and time allow
•   Contribute financially according to ability to give
Time Commitment
 
Board meetings on a regular schedule, lasting about one to two hours. Approximately four hours per month on committee work, and other time according to individual's assumption of responsibilities.
Election and Term
 
The by-laws authorize a board of up to 20 Directors. Each Director is elected to a term of three years and there is no limit to the number of consecutive terms served. Directors are elected at the annual meeting of the corporation in August of each year. In case of vacancies, the remaining Directors may elect someone to serve the remainder of the term. All Directors must be members in good standing of Frenchman Bay Conservancy.
